This Affiliate Agreement (the "Agreement") contains the complete terms and conditions between Rocking Army Inc. ("us", "we" or "Julia Bo") and you, regarding your application to, and participation in, the Julia Bo Affiliate Program (the "Program") as an affiliate of Julia Bo ("you" or "Affiliate"), and the establishment of links from Affiliate's social media accounts to our website, www.juliabo.com (the "Julia Bo Site").

BY SUBMITTING AN APPLICATION TO JOIN OR BY PARTICIPATING IN THE PROGRAM, YOU ARE CONFIRMING THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.

1. COMMISSION STRUCTURE

The commission structure of our affiliate program is revenue share. This model based on your performance—you will receive a share (or percentage) of the money your referred customers have spent on juliabo.com

As a Julia Bo affiliate partner, you will earn commissions each time someone uses your personal affiliate link or personal discount code.

When a customer makes a purchase via your affiliate link or discount code and the order is marked as 'paid', we will record it as a referral offer and attribute it to your account.

You will earn 15% of every order made by a referred customer. The formula for calculating your commission is as follows:

15% of (Product-Product Discount)

Let's say the customer you referred placed the following order:

Product Price $125.00.

Discount (e.g. your $20 personal voucher) -$25.00

Product Discount Price: $100.

Here, your commission will be 15% of $100.00 = $15

If you would like to cash out in store credits, then your commission will be 20% of $100.00 = $20 to spend on our store.

If the order is refunded, the respective commission will be subtracted from your commission total.

We pay all Commission Fees (45) days from the order date of the Qualified Purchase associated therewith. 

We make affiliate payouts in USD via Bank Transfer, PayPal or Payoneer. You must collect at least $50 to request a payout. Each payout request is processed manually and fulfilled within 1-3 business days. 

2. QUALIFIED PURCHASES

(a) We will pay our Affiliates a Commission Fee based on the quantity of Qualified Purchases they generate through their unique discount code or affiliate link.

(b) If the Affiliate chooses to receive  payment through Bank Transfer, PayPal or Payoneer, the Commission Fee will be equal to 15% for every Qualified Purchase, unless otherwise agreed between each party (the Brand and the Affiliate) in writing. If the Affiliate chooses payment via discount code, for each Qualified Purchase, the Affiliate will earn a discount code equal to 20% of the Qualified Purchase, unless otherwise agreed  in written confirmation. In this instance, the store credit-based discount code is valid towards purchases made by the Affiliate via the official Julia Bo Site.

(c) A Qualified Purchase does not refer to:

1. A purchase completed before the Affiliate joins the Program or a transaction that hasn’t been officially tracked through an Affiliate Link or personal voucher code.

2. A purchase that Julia Bo suspects, in its sole discretion, is the result of fraud. This covers, but is not limited to, the use of software that generates real or fictitious data or information, multiple accounts created by the same consumer, or the referral of accounts that do not comply with the Affiliate Agreement.

3. A purchase made by the Affiliate using their Affiliate Link.

(d) We reserve the right to withhold Commission Fee payment from an Affiliate that we believe is indulging in potentially fraudulent activities.

(e) We reserve the right to cancel or withhold any Commission Fee that fails to meet the criteria of a Qualified Purchase.

(f) Any attempt by the Affiliate to manipulate, falsify or inflate Referred Customers, Qualified Purchases or Commission Fees to intentionally defraud Julia Bo, constitutes immediate grounds to terminate your participation in the Program. This will also result in the forfeiture of any Commission Fees outstanding.

3. ACCRUAL AND PAYMENT OF COMMISSION FEES

(a) Julia Bo will pay Affiliate Commission Fees 60 days from the order date of a Qualified Purchase.

(b) We will pay commission fees via bank transfer, PayPal, Payoneer or discount codes for redemption on the official Julia Bo Site, based on the Affiliate’s request. We are not responsible for paying any third-party fees charged by PayPal or Payoneer.

(c) We reserve the right to change or modify the commission payment methods or payment schedule available at any time. All modifications will be documented though the official Julia Bo Site.

(d) The Affiliate agrees that we may fulfil our payment obligations under the Agreement through a third-party platform or vendor.

4. LICENSE TO USE OF POSTS AND AFFILIATE'S IMAGE

You will retain ownership rights to your posts and content. By being an Affiliate, you grant us the perpetual, worldwide, royalty-free rights & license to publish, copy, re-post, link to your content. We also reserve the right to use your social media handle, your name, and your image or likeness as depicted in your social media content, in whole or in part, for promotional purposes.

5. TERM AND TERMINATION

The term of this Agreement will begin once we’ve accepted an Affiliate into the Program. The Agreement will end when terminated by the Brand or the Affiliate.

Either party can terminate the Agreement at any time, with or without cause, by offering prior written notice by email.

6. INDEPENDENT CONTRACTOR RELATIONSHIP

For purposes of this Agreement, the Affiliate is not considered an agent, an employee or an official representative of the Julia Bo brand. 

For all intents and purposes, the Affiliate will operate as an independent contractor. The Affiliate will have no authority to make, or accept, any offers or make any deals or decisions on our behalf. The Affiliate has no authority to act for, or on behalf, of Julia Bo in promotional, logistical  or legal matters.

7. FTC Guides

The FTC requires that you disclose your relationship with the business you're endorsing adequately. It doesn't matter whether it's a commission, a flat fee payment, free products, or a discount, you receive—these are all considered all means of compensation for endorsing a product in an online capacity. If you fail to disclose your relationship as a brand Affiliate, either you or the business you're endorsing could face penalization or a fine.

According to the FTC, the fact that you're promoting affiliate content should be "clear and conspicuous". But, this is dependent on where you're promoting your content. For example, on Twitter and Instagram, adding a "#sponsored" or "#ad" could work in this context—there's limited space for an in-depth disclosure.

There's no prescribed format for disclosing your brand relationship on Facebook, blog posts, or other online content.

SECTION 1 - WHAT DO WE DO WITH YOUR INFORMATION?

When you purchase something from our store, as part of the buying and selling process, we collect the personal information you give us such as your name, address and email address.
When you browse our store, we also automatically receive your computer’s internet protocol (IP) address in order to provide us with information that helps us learn about your browser and operating system. 
Email marketing (if applicable): With your permission, we may send you emails about our store, new products and other updates.

SECTION 2 - CONSENT

How do you get my consent? 
When you provide us with personal information to complete a transaction, verify your credit card, place an order, arrange for a delivery or return a purchase, we imply that you consent to our collecting it and using it for that specific reason only. 
If we ask for your personal information for a secondary reason, like marketing, we will either ask you directly for your expressed consent, or provide you with an opportunity to say no.
